The company / legal entity / individual acceptant and paying of the Confirmation of Order, hereinafter referred to as CLIENT,
agree to conclude the following Contract (Agreement):
Providing the bResponsive service, of adjusting the visibility and functionality of a website for mobile devices. The bResponsive prepaid service consists of a system that automatically converts the existing content of a website into a website tailored for access from portable devices with small screens and Internet connection, such as mobile phones.
Our goal is to maintain the bResponsive service available at least 99.5% of the time, except during the scheduled maintenance of servers or other software and equipment or because of unforeseen and unavoidable service interruptions that occur due to internet connection, network, failures due to the Internet provider and other circumstances unrelated to our systems over which we have no control.
Assistance is provided by our customer support and it is offered equally and non-discretionary, depending on the timeline demands. Support is done through telephone communication and / or email. We strive to provide a response to requests for assistance no later than the business day following the date on which the request is made. Response and resolution times can vary depending on the nature of the problem / request reported.
The external partners of the provider who own, manage and operate the IT infrastructure required to implement the bResponsive service perform periodic maintenance services for bResponsive, in an effort to maintain the service in an operational and stable condition, with the goal of improving the bResponsive service. The systems maintenance includes error correction and other adjustments to general changes in the World Wide Web Consortium standards. However, there is no guarantee, technically speaking, that a mobile website will appear the same on all mobile devices or that all mobile devices can access the client’s site. The changes to the client’s website after the bResponsive service was established and enabled can influence how it appears on mobile devices. The external partners of the provider shall endeavour to carry out all maintenance activities at predetermined periods. Currently, maintenance periods are set on Saturday and Sunday mornings between the hours of 3:00 to 7:00 US Central Standard Time, and weekdays between 3:00 and 05:00 am US Central Standard Time. It is possible that maintenance may not be performed in some of the periods mentioned above. If a system interruption occurs outside of any of the predetermined periods, the provider will issue a notice before the scheduled maintenance activity. The number of planned downtime notified this way does not affect the standard of availability presented above in Art. 2.
The client declares that all the information on his website, data, text, software, music, sound, photographs, graphics, video or other content that is freely provided by using the bResponsive service is his total and sole responsibility. bResponsive does not censor and has no obligation to control any such content made available through the use of bResponsive and therefore does not warrant the accuracy, security, integrity or legality of such content. The client grants to bResponsive non-exclusive and perpetual rights to reproduce / display throughout the world the entire content of the website owned by the client. By using the bResponsive service, the client or the client’s website users may be exposed to offensive content, pornographic, indecent or objectionable. In no case will bResponsive be held liable for any such content or exposure to such content. Although bResponsive is not obliged to monitor all the content, we have the right to remove or block access to content that we determine, at our sole discretion, that it would be contrary to the agreement or applicable laws, without any liability to the customer. (For example: obscene, pornographic, offensive, unlawful, defamatory, harassing, abusive, fraudulent, etc.) Because the menu systems on sites can vary greatly, bResponsive can’t guarantee that the bResponsive service correctly interprets the menu on the client’s website or identifies it at all. The client is the only one responsible for all the aspects of the content, use, "look and feel" (,, look and feel" is a term used in connection with a graphical user interface and includes aspects of design, including elements such as colors, shapes, layout, and characters ("look"), as well as the behaviour of dynamic elements such as buttons, boxes and menus ("feel"). The term can also refer to aspects of an API, the biggest parts of an API which are not related to its functional properties and has two general purposes. First, it provides branding, helping to identify a set of products from a company. Secondly, it increases the ease of use, because users will become familiar with how a product works (appearance, ease of reading, etc.) and compare their experiences with other products with the same look and functionality) and availability of the site converted into the Responsive mode. In order to increase availability on a mobile device, advertisements and other content can be displayed separately. This will not be considered a defect or failure of the bResponsive service. The bResponsive service accepts the viewing of advertisements generated and presented by the bResponsive service (not necessarily in the format and order of the customer site).
The provider shall ensure, under the law, the confidentiality of the client’s personal data and respect his right to privacy in regard to the processing of personal data. This obligation shall not apply to any information disclosed by users to third parties. Processing of personal data is carried out under the law, in good faith, legitimate purposes for the conclusion and performance of other service contracts, respectively providing the services of the provider. The client declares that he agrees with his personal data processing and has knowledge of his rights provided by Law (NN 103/03, 118/06, 41/08, 130/11, 106/12), in particular:
The provider respects the rights conferred by Law (NN 103/03, 118/06, 41/08, 130/11, 106/12) on the protection of individuals with regard to the processing of personal data and the free movement of such data, Law (NN br. 41/14) on the protection of consumers in the conclusion and execution of the contracts remotely with the subsequent modifications. The user has the following rights:
Any such request / notification must be dated, signed and sent by the person registered in the database by email or in writing to the provider. In case the client requests termination of the processing of his personal data, access to the bResponsive service will be automatically restricted because it can’t function without the processing of the personal data.
Any attempt to modify the content on www.bresponsive.hr or to affect the performance of the server on which it runs will be considered an attempt to fraud the site and will put in motion criminal investigation against those who have tried this.
The provider takes his obligations seriously under the data protection legislation. The client’s data may be used for the provider’s own marketing activities or his customers and to contact you about products or services that we believe you may find interesting.
By accepting and paying the bResponsive service you agree that the provider has the right to insert the name and other information about the clients, resulting from the use of the service by the clients, in a computer database for the following purposes:
The purposes for which the provider can use this information and the people who may be offered are exclusively for the purposes associated with the commercialization of the provider’s related services and products, such as:
The client has the right to access the personal data held by the provider and to correct any incorrect information. If the client does not want his data to be displayed in any or all of the provider’s products, or, if the client doesn’t want the data to be used for marketing purposes or, alternatively, if there is any problem regarding the data that we gather, store and the client would like to discuss about it with the provider, he can send a message to email@example.com.
It is the client’s duty to maintain active the email address(es) at the time of the bResponsive service activation and to ensure that the e-mails sent by the provider are not stopped by spam filters or other email blocking systems, with obligation to ensure that the e-mails sent by the provider are received and read. The client must notify the provider within 24 hours of the change of the e-mail. Moreover, the client agrees to receive notices from the provider via email. The client agrees that, as long as the provider respects the communication processes, respectively he issues and sends communications and notifications through e-mail, he will not take any responsibility for the failure regarding the receiving by the client in case of inappropriate e-mail addresses, different anti-spam filters, e-mail accounts not being accessible due to overload etc
The bResponsive service is a prepaid service quarterly or annually, through a subscription system. The monthly fee for the bResponsive service is displayed on the www.bresponsive.hr website. Payments are made in advance for a period of 6 months or 12 months based on the confirmation of order received by mail or fax. Within 48 hours of receiving payment, the provider will issue and send the tax bill by e-mail and in paper form by post office. We do not accept fractions of periods, less than 6 months, or between 7 and 11 months. Payment to the provider can be made by bank transfer.
This contract is concluded for an indefinite period with effect from the date on which the provider has enabled the bResponsive service for the client. The client can cancel the quarterly or annually subscription for any reason or no reason, by notifying the supplier at least 60 days before the effective termination of contractual terms and cancellation of the bResponsive services. The notification shall be sent only in written form, at the registered office address of the provider or by email (PDF format only) with all the customer identification elements, signature and stamp. The provider will return to the client the corresponding amount for the services that will no longer be provided after the effective date of the notification (the 61st day) and end date of the semester or year.
Force majeure defends from liability the party invoking it. By force majeure is understood as circumstances unforeseen and unavoidable for either party, including but not limited to, war (declared or not), armed conflict or a serious threat (such as state aggressions, blockades, embargo), military invasions , revolutions, military mobilization, civil war, coups, social disorder or chaos, disorder acts toward the state; acts of terrorism, sabotage or piracy; acts of public authorities, whether legitimate or not, including legal regulations, expropriation, requisition of supplies, nationalization; natural hazards (including storms, cyclone, tornado, earthquake, landslides, floods, droughts, floods), epidemics; explosions, fires, destruction of machines, equipment, the production units; social conflicts (including boycott, strike, employment of production units or preventing access to them), or any act or situation beyond the control of the parties, recognized by law as a case of force majeure. The party invoking force majeure shall communicate in writing to the other Party the evidence occurrence of the force majeure.
The parties agree that disputes arising from the interpretation and performance of this contract to be settled amicably. Any disputes arising from the interpretation and performance of this contract, which cannot be settled amicably shall be submitted to the competent courts.
